Structure of Investment Corporation

The Articles of Incorporation of PIC provides that PIC shall have at least two Executive Directors and at least three Supervisory Directors (provided, however, that the number of Supervisory Directors shall be at least one more than the number of Executive Directors). The structure of PIC is made up of the General Meeting of Unitholders composed of unitholders, one Executive Director, two Supervisory Directors, the Board of Directors with all Executive Directors and Supervisory Directors as board members, and the Accounting Auditor.

Management Structure

As an investment corporation, PIC manages funds, etc. paid in by the unitholders as investments in real estate, securities including beneficiary interests in real estate trusts, and other assets.
Management of the assets of PIC is in accordance with an asset management agreement under which, as an asset management company, Premier REIT Advisors Co., Ltd. (PRA) manages assets owned by PIC based on the Articles of Incorporation of PIC.

Compliance Initiatives

■ Basic Views on Compliance

PIC is of the view that to secure effectiveness of compliance underlying sound and appropriate operation of business, a sufficient structure to steadily put such into practice needs to be established. PIC sees the structure for securing effectiveness of compliance to mean a structure that has the following series of processes functioning effectively: (i) Setting of appropriate basic policies and compliance standards, (ii) Establishment of rules, etc. based on such, (iii) Constant monitoring, and (iv) Reflection of the monitoring results in new basic policies.

■ Matters Considered and Characteristics of Management Structure, Etc.

To realize the basic views described above, PIC provides compliance standards in “Compliance Rules,” which are internal rules of PIC, as the basic policy on corporate ethics and the code of conduct for Executive Directors and Supervisory Directors of PIC to serve as the guide for securing soundness in management based on self-discipline while performing corporate activities in a sincere and fair manner in strict compliance with laws, regulations and rules in the operation of business. Compliance standards provided include: (i) Awareness of social responsibilities and public missions, and strict compliance with laws, regulations and other rules, (ii) Firm stance against anti-social forces, (iii) Thoroughly ensure the principles of self-responsibility, (iv) Prohibit grant of favors, etc. to interested parties, etc., (v) Draw a line between public and private matters, (vi) Thoroughly ensure information management, and (vii) Prohibit conflicts of interest. Along with each officer’s strict compliance with not only the “Compliance Rules” but also laws, regulations, market rules, internal rules and other various rules, business is operated in accordance with the “Compliance Manual,” which is a manual for concrete realization of legal compliance, “Rules to Prevent Insider Trading,” which are internal rules for preventing, etc. insider trading, and such in pursuit of robust governance.
